Terms & Conditions
These terms are the agreement between you and Algoroot Private Limited for using the AlgoBuzz website and platform. By creating an account or using the service you accept them.
Draft for legal review. Items in square brackets are placeholders to be confirmed before launch.

- "Service": the website, the platform, its modules (Publisher, Designer, Reels Studio, Campaigns, Community Inbox, Ads Manager, Reports) and any related support.
- "You": the business that creates a workspace and each person it adds to it.
- "Workspace": your account, brand profile, connected accounts, content and team.
- "Customer Data": the content you upload or create and the data about your own customers that arrives through connected accounts or lead forms.
- "Generated Content": text, images, scripts, audio or video produced by the Service's AI features from your inputs.
2. Acceptance and electronic contract
Clicking "Create account", "I agree" or using the Service forms a binding electronic contract under section 10A of the Information Technology Act, 2000 and the Indian Contract Act, 1872. If you accept on behalf of a business you confirm you are authorised to do so.
3. Eligibility
You must be at least 18 years old and using the Service for business purposes. The Service is not offered to consumers for personal, household use.
4. Your account and workspace
- Keep your sign-in details confidential. Everything done under your account is your responsibility until you tell us it was compromised.
- You control who you add to your workspace and what role they get. Remove people when they leave.
- Give us accurate business details, including your GSTIN if you want GST invoices in your name.
5. Connected social accounts
When you connect Instagram, Facebook, LinkedIn, YouTube, X, TikTok, Threads, Pinterest or any other platform you authorise us to act on that account on your behalf and you confirm you are allowed to. Each platform's own terms also apply to you. We are not responsible for a platform changing or withdrawing its API, suspending your account or rejecting content.
6. AI-generated content
- Generated Content is a draft. You review it before it is published and you are responsible for what you publish, including its accuracy, legality and compliance with advertising and platform rules.
- Subject to these terms, you own the Generated Content you create. We claim no rights in it, except the limited licence in "Intellectual property".
- AI output can be wrong, biased or similar to output produced for someone else. Do not rely on it for legal, medical, financial or safety-critical claims without checking.
- You may not use the AI features to produce content that is unlawful, defamatory, misleading, infringing, hateful or that impersonates a person or organisation.
7. Acceptable use
You agree not to: break any law, including the IT Act, 2000 and rules under it; send spam or unsolicited messages; upload malware; scrape or reverse engineer the Service; resell access without a written agreement; or interfere with other customers' workspaces. We may suspend a workspace that breaches this section after giving notice where practicable.
8. Fees, billing and GST
- Fees for your plan are set out in your order or plan confirmation at [PLAN / AMOUNT]. Prices are in Indian Rupees and exclusive of GST.
- GST at the applicable rate (currently 18% on software services) is added to every invoice. Invoices show our GSTIN and, if you give it to us, yours.
- Invoices are due within [PAYMENT TERMS] days. We may suspend the Service for invoices more than 15 days overdue after a reminder.
- Where tax must be deducted at source you will provide the TDS certificate; we will gross up or accept the net amount as agreed in your order.
9. Onboarding, cancellation and refunds
- Every plan starts with a guided setup. Until a plan is confirmed in writing no fees are charged.
- You can cancel any time from your account or by email. Cancellation takes effect at the end of the current billing period; we do not charge a cancellation fee.
- Fees already paid are not refundable, except: where the Service was unavailable for more than [SLA THRESHOLD] in a billing month because of our fault; where we materially misdescribed the Service; or where the law requires a refund. Approved refunds are made to the original payment method within 14 days.
- We acknowledge billing complaints within 48 hours and resolve them within 30 days, in line with the Consumer Protection (E-Commerce) Rules, 2020.
10. Intellectual property
- The Service, its software, design and documentation belong to AlgoBuzz and its licensors. We grant you a non-exclusive, non-transferable licence to use it for your business while your account is active.
- Customer Data and Generated Content belong to you. You grant us a licence to host, process, display and transmit them only as needed to provide the Service and to improve it in aggregated, de-identified form.
- Feedback you give us may be used without obligation to you.
11. Customer Data and data protection
- For data about your own customers we act as a data processor under the Digital Personal Data Protection Act, 2023 and process it only on your instructions. You are the data fiduciary and are responsible for giving your customers notice and for the lawful basis of collection.
- We apply the safeguards described in our Privacy Policy, notify you without undue delay of a personal data breach affecting your Customer Data, and delete or return it when your account closes.
- Our Privacy Policy forms part of these terms.
12. Confidentiality
Each of us will keep the other's non-public information confidential and use it only for this agreement. This does not cover information that is public, already known, independently developed, or that must be disclosed by law, in which case the disclosing party gives notice where allowed.
13. Availability, support and changes
We aim to keep the Service available around the clock but do not guarantee uninterrupted access. We may schedule maintenance, preferably outside Indian business hours, and will give notice for planned downtime longer than an hour. Support is available by email on business days. We may add, change or retire features; if a change materially reduces the Service you may cancel and receive a pro-rated refund of prepaid fees.
14. Warranties and disclaimers
We warrant that we will provide the Service with reasonable skill and care. Otherwise the Service is provided "as is", and we disclaim all other warranties to the extent the law allows, including that Generated Content will be accurate, original or suitable for a particular purpose, or that any marketing result will be achieved.
15. Limitation of liability
To the extent permitted by Indian law, neither party is liable for indirect or consequential loss, lost profits or lost data, and our total liability under this agreement in any 12-month period is limited to the fees you paid us in that period. Nothing limits liability for fraud, wilful misconduct, death or personal injury, or breach of confidentiality or data-protection obligations. These limits are intended to be fair and proportionate; if a court finds a clause unfair under the Consumer Protection Act, 2019 the rest remains in force.
16. Indemnity
You will indemnify us against third-party claims arising from Customer Data, content you publish, or your breach of platform terms or law. We will indemnify you against third-party claims that the Service itself infringes an Indian intellectual property right, provided you tell us promptly and let us control the defence.
17. Termination
Either party may end this agreement on 30 days' notice. We may suspend or end it immediately for a material breach that is not cured within 15 days of notice, for non-payment, or where required by law or a platform. On termination your access ends, you may export your Customer Data for 30 days, and the sections that by their nature should survive (fees owed, IP, confidentiality, liability, governing law) continue.
18. Force majeure
Neither party is liable for delay or failure caused by events beyond its reasonable control, including internet or platform outages, government action, epidemics or natural disasters, provided it takes reasonable steps to limit the effect.
19. Governing law and jurisdiction
This agreement is governed by the laws of India. The courts at [JURISDICTION CITY] have exclusive jurisdiction, subject to the parties first attempting to resolve any dispute in good faith within 30 days of written notice.
20. Grievance officer
For complaints about the Service, content or billing: Harish Singh, info@algorootglobal.com, [GRIEVANCE PHONE], [REGISTERED ADDRESS], [CITY], [STATE] [PIN]. We acknowledge complaints within 48 hours and resolve them within 30 days.
21. Notices
Notices to us go to info@algorootglobal.com or our registered address. Notices to you go to the email address on your account and are deemed received the next business day.
22. Changes to these terms
We may update these terms. For material changes we give at least 15 days' notice by email or inside the product. Continuing to use the Service after that date means you accept the new terms; if you do not, you may cancel before they take effect.
23. Miscellaneous
This agreement, your order and the Privacy Policy are the entire agreement between us. If a clause is unenforceable the rest stands. Neither party may assign this agreement without consent, except to a successor of its business. No waiver is effective unless written. The parties are independent contractors.
